Public Distribution Agreement

This Public Distribution Agreement (the “Agreement”) governs the terms under which individuals or companies (“Distributor”, “Reseller”, or “You”) may distribute, resell, or white-label Powerlynx software, a cloud-based hotspot and Wi-Fi management system provided by Powerlynx s.r.o., having its registered address at K metru 227/8, Třebonice, 155 21 Praha 5, Czech Republic, Company ID: 215 30 629 (“Powerlynx”, “We”, or “Us”).

By registering as a Distributor or using the Powerlynx Distributor Portal, You agree to be bound by the terms of this Agreement.

1. Definitions

‘Software’ refers to the Powerlynx platform, including all tools, features, portals, and cloud services offered for hotspot and Wi-Fi management.

‘Distributor Portal’ means the administrative interface provided by Powerlynx to Distributors for managing customer instances and sub-accounts.

‘Active Hotspot User’ means a unique, end-user device session that is counted as active for billing purposes.

‘Sub-account’ refers to a separate customer instance of the Software created and managed by the Distributor through the Powerlynx portal. Each sub-account represents an individual client of the Distributor with its own configuration, data, and user access under the Distributor’s license.

2. Eligibility & Scope

Managed Service Providers (MSPs), Internet Service Providers (ISPs), IT integrators, consultants, or similar business entities may apply as a Distributor under this Agreement.

Distributors are granted non-exclusive rights to distribute, resell, or white-label the Powerlynx Software under the terms outlined herein.

There are no geographic limitations on distribution.

3. Distributor Rights

Resale Flexibility: Distributors may resell the Software under their own pricing structure and retain full revenue from their customers. (See section 3.1)

White-Labeling: Distributors may offer the Software under their own branding. (See section 3.2)

Customer Relationship: The Distributor is solely responsible for billing, customer support, and service delivery to their clients. (See section 3.3)

3.1 Pricing and Billing

1. Powerlynx charges resellers a standard pricing of $0.25 (USD) per Active Hotspot User. Distributors can start with a minimum monthly license fee of just $25 USD, which covers 100 active hotspot users. Powerlynx licenses are available in increments of 100 users.
2. Each Distributor will receive a single consolidated monthly invoice covering all sub-accounts under their portal.
3. Billing is calculated based on all sub-accounts under the Distributor’s portal.
4. Invoices are issued monthly and are due within 10 days from the invoice date.
5. Failure to pay on time may result in service suspension, including access to all sub-accounts.
6. Distributors are responsible for managing their own customer billing systems. Powerlynx does not handle end-user payments on behalf of Distributors.

3.2 White-Labeling

Powerlynx offers Distributors the ability to resell the Software under their own brand through a white-labeling possibility, subject to the following conditions:

1. Brand Customization: Distributors may fully replace Powerlynx branding within their own instances.
2. No Mention of Powerlynx: White-labeled instances will not display the Powerlynx name, logo, or references within the software interface. However, internal technical components may still reference Powerlynx (e.g., codebase or logs not visible to end users).
3. Domain Structure: White-labeled instances are hosted under a neutral domain: https://hotspot.software. Each sub-account will be accessible under a custom subdomain (e.g., https://customername.hotspot.software) and will not reference or link to Powerlynx.
4. Website & Documentation: Powerlynx does not provide a branded website or marketing materials under the white-labeled identity. Distributors are responsible for creating and maintaining their own customer-facing materials if desired.
5. Responsibility: The Distributor assumes full responsibility for the branding, representation, and claims made under the white-labeled product, and must not misrepresent the Software’s capabilities or origin.
6. Intellectual Property Ownership: White-labeling does not transfer any intellectual property rights. The Software remains the sole property of Powerlynx, and the Distributor is granted a license to rebrand and market the Software only as permitted under this Agreement.

3.3 Support and Maintenance

Distributors are responsible for customer support to their end users. In case of system-level issues or platform malfunctions, Distributors may contact Powerlynx technical support at: support@powerlynx.app.

4. Use of the Software

Distributors must use the Software only for lawful business purposes. Misuse, abuse, or operation of the Software in ways that violate applicable laws or harm Powerlynx’s reputation may result in immediate termination of this Agreement and access suspension.

5. Intellectual Property

The Software and all related intellectual property rights are the sole property of Powerlynx. Distributors are granted a non-transferable, non-exclusive license to market, access, and resell the Software under this Agreement. No ownership or intellectual property rights are transferred to the Distributor or any end user. Reverse engineering, copying, or unauthorized sublicensing is strictly prohibited.

6. Term and Termination

This Partnership Agreement is effective upon acceptance and remains in force until terminated by either party. Distributors may terminate the Agreement at any time with written notice.

Powerlynx reserves the right to terminate or suspend the Agreement and access to the Distributor Portal in the event of:

1. Non-payment;
2. Breach of this Agreement;
3. Abuse or inappropriate use of the Software.

7. Limitation of Liability

Powerlynx is not liable for any indirect, incidental, or consequential damages, including loss of data, profits, or revenue.

Distributors are solely responsible for all actions, representations, and liabilities arising from their use of the Software and the actions of their sub-accounts and customers.

Powerlynx bears no responsibility for any disputes or damages between the Distributor and its customers.

8. Amendments

Powerlynx may update this Agreement at any time. Continued use of the Software or Distributor Portal after changes are posted will constitute acceptance of the updated terms.
